Terms of Service
Ironheart Capital LLC
Effective Date: 9/29/26 Last Updated: 9/29/26
Please read these Terms of Service ("Terms") carefully. They are a binding legal contract between you and Ironheart Capital LLC. By accessing or using any part of our services, you agree to everything below. If you do not agree, do not use our services.
1. Who We Are and What These Terms Cover
Ironheart Capital LLC ("Ironheart Capital," "IHC," "we," "us," or "our") is a limited liability company organized under the laws of the State of Delaware. We operate an online trading-education and entertainment community.
These Terms govern your access to and use of all of the following (together, the "Services"):
-
Our Discord server and any related chat, voice, forum, or community channels;
-
Our website at https://www.ironheart-capital.com/ and any pages, subdomains, or content on it;
-
Any educational material, market commentary, "after-action reports," recaps, watchlists, scans, bots, tools, alerts, classes, giveaways, newsletters, or other content we make available;
-
Any paid membership, subscription, or premium feature we may offer; and
-
Any links, referral codes, or partner offers we share (including prop-firm partner links).
"You" or "Member" means any person who accesses or uses the Services, whether or not you register or pay.
2. The Most Important Thing: This Is Education and Entertainment, NOT Financial Advice
Everything we provide is for educational and entertainment purposes only. Please read this section carefully — it is the core of our relationship with you.
-
We are not financial advisors. We are not, and do not hold ourselves out as, a registered investment adviser, broker-dealer, commodity trading advisor, commodity pool operator, financial planner, or any other kind of licensed or regulated financial professional. Nothing in the Services should be interpreted as a recommendation to buy, sell, or hold any security, futures contract, option, cryptocurrency, or other financial instrument.
-
Nothing we share is personalized advice. We do not know your individual financial situation, goals, risk tolerance, or needs, and we are not evaluating them. Any information, opinion, analysis, "setup," idea, alert, or commentary — from us, our analysts, our staff, our members, or any bot or tool — is general information only and is not investment, financial, legal, tax, or trading advice for you or anyone else.
-
Our analysts are personalities, not licensed professionals. Our contributors and "analysts" (including but not limited to those using names or handles such as InkedCapital, Swami, Mr. 8 Ball, Bev, Husky, and Guru) share their personal opinions and their own approach to markets for educational and entertainment purposes. They are not acting as your advisor or fiduciary.
-
No advisory relationship is created. Your use of the Services does not create any advisory, brokerage, fiduciary, agency, or professional-client relationship between you and Ironheart Capital or anyone associated with it.
-
Always do your own research and consult a licensed professional. Before making any financial decision, you should consult with a licensed and qualified financial advisor, broker, accountant, and/or attorney who can consider your specific circumstances. You are solely responsible for your own decisions.
3. Trading Involves Substantial Risk of Loss
You acknowledge and agree that:
-
Trading and investing are risky. Trading stocks, futures, options, cryptocurrencies, and other financial instruments involves a substantial risk of loss and is not suitable for every person. You can lose some, all, or more than the amount you invest.
-
You trade at your own risk. Any decision you make to buy, sell, hold, or trade any instrument is your own independent decision, made at your own risk, based on your own judgment. Ironheart Capital is not responsible for any of your trades or their outcomes.
-
Past performance is not indicative of future results. Any results, screenshots, alerts, "profit recaps," win rates, or performance figures shared through the Services — whether from our analysts or from members — reflect specific past situations and do not guarantee or predict future results. Individual results vary widely. Many traders lose money.
-
No guarantee of profit. We do not promise, guarantee, or represent that you will earn any profit, avoid any loss, or achieve any particular result from using the Services or from any content, idea, or "setup" we share.
-
Screenshots and recaps are illustrative. Profit screenshots, alert snips, and recaps shared through the Services are examples posted for education and entertainment. They are not typical, not verified as representative, and should not be relied on as a promise of what you can achieve. They may reflect the best outcomes rather than average ones.
-
Hypothetical or simulated results have limitations. Any hypothetical, backtested, or simulated performance has inherent limitations and does not represent actual trading. Actual results may differ materially.
4. Eligibility
To use the Services, you represent that you:
-
Are at least 18 years old (or the age of majority in your jurisdiction, if higher);
-
Have the legal capacity to enter into these Terms;
-
Are not barred from using the Services under the laws of any applicable jurisdiction; and
-
Will comply with these Terms and all applicable laws.
We may refuse, suspend, or terminate access to anyone at our discretion.
5. Affiliate, Referral, and Partner Disclosures
We participate in affiliate and referral arrangements, including with proprietary-trading ("prop") firms and other companies. This means:
-
We may earn compensation. When you use a link, banner, or referral code we share (for example, a discount code such as "IRONHEART," or a partner link to a prop firm or other service), we may receive a commission, discount, payment, free product, or other benefit, at no additional cost to you.
-
This may create a conflict of interest. Because we may be compensated, you should assume any partner recommendation, link, or code is a paid or incentivized promotion. Our sharing of a partner does not mean we endorse it as suitable for you.
-
We do not control our partners. Prop firms and other third parties have their own terms, fees, rules, evaluations, payout policies, and risks. We are not responsible for their products, services, conduct, or any dispute between you and them. You deal with them at your own risk and should review their terms directly.
-
Do your own due diligence before purchasing, funding, or signing up for anything through a partner link or code.
6. Memberships, Payments, and Refunds
Access to the Services is currently free, but we may offer paid memberships, subscriptions, or premium features in the future. Where paid features apply, the following terms govern:
-
Fees and billing. Prices, billing cycles, and included features will be described at the point of purchase. By subscribing, you authorize us and our payment processor to charge your chosen payment method on a recurring basis until you cancel.
-
Automatic renewal. Unless stated otherwise, paid memberships renew automatically at the end of each billing cycle at the then-current price. You authorize these recurring charges until you cancel.
-
Cancellation. You may cancel at any time through the method we designate. Cancellation stops future renewals; it does not retroactively cancel a cycle already begun.
-
Refunds. Except where required by law, all fees are non-refundable, and we do not provide refunds or credits for partial periods, unused access, or downgrades.
-
Price changes. We may change prices and features. We will give notice of price changes as required by law, and changes take effect on your next billing cycle.
-
Taxes. You are responsible for any applicable taxes.
-
Payment processing. Payments are handled by third-party processors. We do not store full payment-card details, and your use of a processor is subject to its terms.
-
No advice included. Paying for access does not change Section 2: paid content is still education and entertainment only, and is still not financial advice.
7. Community Rules and Acceptable Use
You agree that you will not, and will not allow anyone else to:
-
Provide personalized investment, financial, tax, or legal advice to other members, or hold yourself out as a licensed professional, through the Services;
-
Solicit, promote, or run any investment scheme, "pump and dump," signal-selling, money-management service, pooled fund, or similar activity;
-
Post unlawful, fraudulent, misleading, harassing, hateful, threatening, defamatory, obscene, or infringing content;
-
Impersonate Ironheart Capital, our staff, our analysts, or any other person or entity;
-
Share, resell, or redistribute our content, tools, or paid materials without our written permission;
-
Attempt to gain unauthorized access to the Services, or interfere with, disrupt, scrape, reverse-engineer, or overload the Services or any bots, servers, or networks;
-
Upload viruses, malware, or malicious code, or use bots or automated means except as we expressly allow;
-
Spam, advertise, or promote competing or third-party products or services without our permission; or
-
Violate any applicable law or regulation, or the terms of any third-party platform (including Discord's terms and community guidelines).
We may remove content, restrict features, or suspend or ban any Member, at any time and for any reason, without notice or liability.
8. User Content
-
You own your content. You keep ownership of the content you post (messages, screenshots, images, ideas — "User Content").
-
You grant us a license. By posting User Content, you grant Ironheart Capital a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, host, store, reproduce, display, adapt, and distribute that User Content in connection with operating, promoting, and improving the Services — including sharing profit recaps and community highlights across our channels and social media. This license continues even if you later leave, for content already shared.
-
You are responsible for your content. You represent that you have the rights to post your User Content and that it does not violate these Terms or any law or third-party right.
-
We may moderate. We may (but are not obligated to) monitor, edit, or remove any User Content at our discretion.
9. Intellectual Property
The Services and all content we create — including our name, the "Ironheart Capital" brand, logos (including the dual-phoenix mark), wordmarks, taglines, text, graphics, designs, recaps, reports, bots, tools, and layouts — are owned by or licensed to Ironheart Capital and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, non-commercial use, subject to these Terms. You may not copy, reproduce, sell, license, distribute, or create derivative works from our content without our prior written permission.
10. Third-Party Links and Services
The Services may contain links to, or integrations with, third-party websites, platforms (including Discord), bots, tools, and services that we do not own or control. We are not responsible for their content, products, policies, security, or practices. Your use of any third-party service is at your own risk and governed by that third party's terms. Including a link or integration is not an endorsement.
11. Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE," with all faults, and without warranties of any kind. To the fullest extent permitted by law, Ironheart Capital disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.
We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components; that any content, data, alert, or figure is accurate, complete, timely, or reliable; or that any result will be achieved. Any reliance you place on the Services is at your own risk.
12. Limitation of Liability
To the fullest extent permitted by law:
-
Ironheart Capital, its owners, members, managers, officers, employees, analysts, contributors, and agents (the "IHC Parties") will not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, or loss of goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
-
This applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails of its essential purpose.
-
The IHC Parties' total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the total amount you paid us, if any, in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless the IHC Parties from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or any law; (d) your infringement of any third-party right; or (e) any financial or trading decision you make.
14. Termination
We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice, and without liability. You may stop using the Services at any time. Sections that by their nature should survive termination — including Sections 2, 3, 5, 8 (license granted), 9, 11, 12, 13, 15, and 16 — will survive.
15. Dispute Resolution, Arbitration, and Class-Action Waiver
Please read this section carefully — it affects your legal rights.
-
Informal resolution first. Before starting any formal proceeding, you agree to contact us at staff@ironheart-capital.com and try in good faith to resolve the dispute informally for at least thirty (30) days.
-
Binding arbitration. Except as noted below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its rules, rather than in court. The arbitration will be held in Delaware, or conducted remotely, unless you and we agree otherwise. Judgment on the award may be entered in any court with jurisdiction.
-
Class-action waiver. You and Ironheart Capital agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
-
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or Services security.
-
Opt-out. [OPTIONAL: You may opt out of this arbitration agreement by emailing us at the address above within 30 days of first accepting these Terms. Remove this bullet if you do not want to offer an opt-out.]
If this Section 15 is found unenforceable, the rest of these Terms still apply, and disputes will be resolved by the courts described in Section 16.
16. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 15, the state and federal courts located in Delaware will have exclusive jurisdiction, and you consent to their jurisdiction and venue.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last Updated" date above and, where appropriate, provide additional notice. Changes take effect when posted (or on any later date we specify). Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, stop using the Services.
18. Privacy
Your use of the Services is also governed by our Privacy Policy https://www.ironheart-capital.com/privacy-policy, which explains how we collect and use information. If you do not yet have a Privacy Policy, you should create one — most platforms and payment processors require it.
19. General Terms
-
Entire agreement. These Terms (and any policies referenced here) are the entire agreement between you and Ironheart Capital about the Services and supersede any prior agreements.
-
Severability. If any provision is found unenforceable, the rest remain in full effect, and the unenforceable provision will be limited or removed to the minimum extent necessary.
-
No waiver. Our failure to enforce any provision is not a waiver of it.
-
Assignment. You may not assign these Terms without our consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
-
No third-party beneficiaries. Except for the IHC Parties, these Terms create no third-party beneficiary rights.
-
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
-
Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship between you and Ironheart Capital.
-
